FEATURED TRANSACTIONS

Design and implementation of the legal, corporate, and financial structure for the start-up of an insurtech company in the Dominican Republic, including the incorporation of the SPV holding, as well as the instrumentation of the shareholders' agreement and the design of corporate governance for the SPV holding (2023).

Estate Planning

Representation of a foreign client as a shareholder of GCS Enterprises, a subsidiary of the fintech GCS International (T-Pago), in the process of sale to Grupo Popular of 100% of the shares of GCS Enterprises. Our involvement included the negotiation of the Stock Purchase Agreement (SPA) and related documents for the closing of the transaction (2023).

Mergers & Acquisitions

Representation of a local client as a distributor in the negotiation and implementation of the exclusive representation and distribution agreement for the "TIGRE" brand in the Dominican Republic, a leading brand in painting accessories and finishes in South America. The representation included the registration before the Central Bank of the Dominican Republic as a concessionaire and exclusive distributor under (Law No. 173- 1966), as well as the implementation of the shareholders' agreement and the design of the corporate governance of the distributor's legal vehicle (2024).

Franchises and International Brands

Representation of a foreign client as a creditor in the negotiation and restructuring of a US$3,500,000.00 loan with a leading food and beverage distributor in the hospitality sector of the Dominican Republic, including the restructuring of the loan and client guarantees to optimize their position against the debtor (2024).
